			<content:encoded><![CDATA[<p>If you use the right tax tools and techniques together with the right professionals (<a href="http://www.estatetaxsecrets.com/contact-irv-blackman/">lawyer, insurance consultant, and CPA</a>), you can and will develop a plan to beat the IRS. Every time. And legally.<br />
Unfortunately, the goal of the typical estate planner is to reduce estate taxes. Our goal is always the same: eliminate the robber-like estate tax.<br />
There are three types of readers of this column that call me for help: The reader who (1) has an estate plan but needs a second opinion, (2) has no plan, or (3) has been working on a plan for years and just can’t seem to get it done. Which type are you?&#8230;. Write your answer here ____________.<br />
You might be interested in knowing that no matter which type you are, you have lots of company. Here are the percentages: (1) need a second opinion – 55%; (2) no plan – 15%; (3) working on a plan, can’t get it done – 30%.<br />
Following is a real-life, second-opinion plan that should help you no matter which category you happen to be in: A 61-year old from Ohio, who winters in Florida, (let’s call him Joe) falls into the first opinion category. Joe’s letter says in part: “I… enclosed all the information… you asked for. My current plan [it was two short wills and two long revocable trusts. One of each for Joe: the others for his wife Mary] looks good… but somehow I don’t feel comfortable… So request… a second opinion.”<br />
Joe and Mary turned out to be a very interesting case, yet, sadly and as is often the case, contains some common estate plan errors. Sure, their documents – wills and trusts – were near perfect. Problem is they just didn’t work. Let’s see why.	Joe and Mary are worth just over $8 million, plus Joe has a number of <strong>life insurance policies</strong> totaling $2.7 million on his life that name Mary as the beneficiary. The $8 million includes $1.9 million in Joe’s rollover IRA with Mary as beneficiary. The balance of the assets ($6.1 million) – Joe’s business, their Ohio and Florida residences, some rental real estate and other investments – are all held in joint tenancy by Joe and Mary.<br />
	The wills and  trusts – 46 pages in total – were designed by a large law firm to pass Joe’s and Mary’s assets in a highly organized plan, first to the survivor of Joe and Mary and then to their  children and grandchildren. Because Joe is 4 years older than Mary (and females outlive males by about 4 years), it was assumed that Joe would pass on first.<br />
	Okay, suppose Joe goes to heaven first in 2009. Everything, and we mean everything (because of the joint tenancy) would go directly to Mary. Joe’s trust would get nothing and be a worthless stack of papers. Mary would get her $2.7 million in insurance. For the same reason – named beneficiary – Mary gets the $1.9 million in the IRA. What about the other assets – worth $6.1 million? All to Mary immediately. Let me repeat: because property held in joint tenancy goes to the survivor.<br />
	It should be pointed out that if Mary had died the day after Joe, the tax bite would have exceeded $3.1 million (using current 2009 estate tax rates, top rate of 45%) on the $10.7 million now owned by Mary. Their kids would net only about $7.6 million.<br />
	What’s the lesson to be learned from this second opinion story: a will and a revocable trust – no matter how terrific – standing alone can never be a complete estate plan.<br />
	We used a number of strategies to change Joe’s and Mary’s estate plan: (1) a qualified personal residence trust for the residences, (2) an intentionally defective trust to transfer Joe’s business to the kids…Tax-free, (3) an irrevocable trust for the insurance, (4) retirement plan rescue for the IRA to pay for the additional life insurance needed, (5) a family limited partnership<br />
to hold the balance (real estate and investments) of their assets, and (6) an organized future-gift-giving program to their children and grandchildren. With minor changes, the original wills and trust were left alone.<br />
Important Note: I predict that Congress will (before December 31, 2009), amend the estate tax law to make the first $3.5 million of your taxable estate tax-free. So for a married couple, $7 million can escape the estate tax monster.<br />
	After the above strategies and completed plans are put in place, if Joe and Mary get hit by the same bus, the kids would net, after taxes, about $11.2 million (includes the additional life insurance in strategy (4) above). The longer Joe and Mary live, as the future-gifting program – over time – is implemented, the more tax-free dollars will be transferred to the kids.<br />

			<content:encoded><![CDATA[<p>Do you have a large amount of money in an IRA, profit-sharing plan, 401(k) plan or other qualified plan? Or know someone — family, friend or co-worker-who does? Then, this article will not only save you a ton of taxes, but will show you how to dramatically increase your after-tax wealth tax-free.</p>
<p>This is one of those bad-news, good-news tax stories. First, the bad news. Some day the money in your plan must be distributed: to you or your beneficiaries. If you make the mistake of becoming rich, those beautiful dollars that took you decades to accumulate will be worth only in the 27 percent range to you and your family. You see, the IRS will get the rest in taxes. Yep, typically you will lose about 73 cents out of every dollar because you must pay two taxes on your plan distributions: income tax and estate tax. It’s even worse in some high-tax states like New York (check with your accountant).</p>
<p>How do I define rich? You are irrevocably in the highest income tax bracket (say 40 percent, state and federal) and highest estate tax bracket (55 percent, using 2011 rates.) Sorry, but the tax collector will take the lion’s share of your plan assets whether you get plan distributions during life, or the distributions go to your heirs after death.</p>
<p>Can anything be done to prevent this tax robbery? Yes! Here comes the good news. Regular readers of this column know I’m part of a national tax network (other professionals who work together and share tax knowledge). Well, some of the experts in the network have devised two tax concepts to enrich your family instead of the IRS. These concepts are designed to help individuals who have accumulated large amounts (from $200,000 to millions of dollars or more) in their plans.</p>
<p>Suppose you have $1 million (fill in your own exact number) in one plan or all of your plans combined. If you fail to take advantage of one or both of these concepts you will lose $730,000 (or more) in taxes to the IRS. Just take 73 percent of the amount in all your plans, and you can clearly see the full tax-disaster picture. Of course, your local tax collectors (state, as well as your local county or city) may grab an additional piece of the tax action. Now, let’s look at each concept separately.</p>
<p>The first concept — called the Single Premium Strategy (SPS) — to overcome the tax robbers combines three strategies:</p>
<p>• An immediate-pay annuity (typically a joint-life annuity if you are married);</p>
<p>• A life insurance policy (second-to-die if you are married) and;</p>
<p>• An irrevocable life insurance trust.</p>
<p>In one real-life case, an unmarried reader of this column turned $325,000 into $2,878,385 (all taxes paid). Another reader, who is married, turned $270,000 into $3,496,063 (all taxes paid). Single or married, it’s smart to get an exact quote of how much tax-free wealth an SPS would create for you and your family.</p>
<p>The second concept is named Retirement Plan Rescue (RPR) When using an RPR, your qualified plan uses the funds in the plan to buy the insurance: either for a single life or second-to-die for a husband and wife. A married reader (Joe) used an RPR to buy $10 million of second-to-die insurance, which will go to his kids tax-free. Joe actually turned $567,900 into $10 million. Joe’s wife Mary called the entire transaction a “tax miracle.”</p>
<p>You’ll also be surprised at how easy the above strategies are to do. So, if you are lucky enough to be rich, but unlucky enough to have a substantial part of your wealth in a qualified plan (IRA, profit-sharing, 401 k or similar plan), you owe it to your family to take a close look at the above two tax-miracle concepts and it’s easy to do.</p>

<p>The tax law frustrates successful business owners at every turn. Never have I seen this frustration expressed better than in a letter from a reader (let&#8217;s call him Joe) of this column, a portion of which follows word-for-word (except the names have been changed).</p>
<p>&#8220;Mary and I spent the better part of a year creating a plan to leave our worldly goods [Joe and Mary are worth about 4.1 million] to our [two] single sons, one of whom is in our business.</p>
<p>&#8220;You can see from our wills, revocable trusts and the two green manuals from the Family Planning Group, [professional advisors specializing in business succession and estate planning], our tax attorney and our CPA, who sat in all of our meetings, that we are trying to do the right thing. Just what that means, I don&#8217;t know, but it seems that if Mary and I went to Vegas and lost every dime there would be no taxes, yet if we live a reasonably decent life and try to pass on our savings to our children and to charities, Uncle Sam steps in and decimates a lifetime of savings.&#8221;</p>
<p>The letter was accompanied by a stack of documents and financial data, (actually the same information made available to Joe&#8217;s threesome of advisors). What&#8217;s so interesting about Joe and Mary is that they are a poster couple for the six most common maintaining your lifestyle and estate tax problems — that follow — facing millions of family business owners:</p>
<p>• How to transfer your family business when you have one child (or more) in the business and one child (or more) not in the business;</p>
<p>• How to maintain your lifestyle (and your spouse&#8217;s) for as long as you live;</p>
<p>• How to invest your excess funds;</p>
<p>• How to treat your children fairly;</p>
<p>• How to get your wealth to your children (or other family members) without being &#8220;decimated&#8221; by the IRS;</p>
<p>• How to control your business for as long as you live.</p>
<p>It should be noted that all of Joe&#8217;s advisors were smart and experienced practitioners in their respective areas. Then, why was Joe still searching for better results than this group could deliver? Simply put, Joe saw blue every time he thought of the $1 million-plus tax bill he was told he must pay to the IRS. Since Joe and Mary are like so many other family business owners (the amount of wealth is almost immaterial, it could be $3 million, $30 million or more), following is the basic plan (as your read, think how the same or a similar plan would solve your problems: for the rest of your life and when you get hit buy the final bus) we implemented for them. It&#8217;s also the six-step core plan (the planning strategies are italicized) we create for most business owners, who want to (1) maintain their lifestyle for as long as they live and (2) to finesse the estate tax and get 100 percent of their wealth to their family. All taxes, if any, paid in full:</p>
<p>1. The business is transferred to the business child (or children) using an intentionally defective trust.</p>
<p>2. A subtrust or retirement plan rescue (using qualified plan funds, typically a profit-sharing plan, 401(k) or rollover IRA) is used to purchase second-to-die life insurance on Joe and Mary (proceeds to the children tax-free).</p>
<p>3. A family limited partnership (FLIP) is created to hold all of Joe&#8217;s and Mary&#8217;s assets (usually investments, like real estate, stocks and bonds).</p>
<p>4. Invest a portion of available funds (in your qualified plans, business or personal) in senior settlements (SS). Maintaining your lifestyle is easier with SSs, which earn over 15 percent — without market risk-per year. These SSs are made available by a public company (trades on the NASDAQ) that has been enjoying a 15.82 percent rate of return on average for 15 years.</p>
<p>5. An annual gifting program is started immediately to transfer the FLIP interests to the children (typically, the non-business children).</p>
<p>6. The death documents (will and trust) are designed to clean up all of their goals and asset distributions that were not accomplished during their life by the first five steps of the plan. Notice that the first five steps are done while Joe and Mary are alive — a must if you want to maintain your lifestyle and win the estate tax game. A will and trust (really a death plan — as opposed to a lifetime plan) just can&#8217;t get the job done.</p>
<p>Joe and Mary will control all their assets — including the business — for as long as they live. Again, we want to pound this point home: The plan is essentially a lifetime tax plan (the first five steps). The real secret is to do lifetime planning, not only death or estate planning (the sixth step), like Joe&#8217;s advisors did.</p>
<p>After our six-step plan was put in place, the wealth that will ultimately go to the children of Joe and Mary will be in excess of $5 million. We actually created additional tax-free wealth, instead of losing over $1 million to the IRS. Most importantly, Joe and Mary will be able to maintain their lifestyle — allowing for an inflation rate of up to five percent — for as long as they live.</p>
<p>As regular readers of this column know, we do a reader test from time to time (Joe was part of the last-reader test).</p>
<p>So, if you want to maintain your lifestyle for life, have an estate tax problem or own an interest in a closely held business (particularly if you want to transfer the business to one or more of your kids), you are invited to join the test.</p>

About once a month, we get a call at the office asking a question something like this: &#8220;How can I get real estate out of my corporation without being taxed to death?&#8221;</p>
<p>Actually, we could write a small book about the various facts and circumstances that impact on how-to-remove-real estate from your corporation. The book would answer many questions. Stuff like: Are you a C corporation or an S corporation? Are there retained earnings? And how much? How much has the real estate appreciated? And on and on.</p>
<p>Each additional fact might change the tax strategy needed to answer the question — to cover all the possibilities is beyond the scope of this column. Instead, let&#8217;s set up the facts and circumstances that represent over 95 percent of the calls and the recommended solution to get-the-real-estate-out-of-the-corporation problem.</p>
<p><strong> Typical facts and circumstances </strong></p>
<p>Joe owns Success Co., a C corporation with a large amount of retained earnings and one or more pieces of real estate that has significantly appreciated in value. Most of the time the real estate has a building on it, but it could be vacant. (If Success Co. is an S corporation, it has a large amount of old C corporation earnings frozen in place, and the same real estate facts).</p>
<p><strong> The solution </strong></p>
<p>As you read what follows, keep in mind that you don&#8217;t have to know how to build a car in order to drive one. Put it another way: Don&#8217;t sweat the technical details; simply concentrate on the unbelievable favorable tax results.</p>
<p>Here&#8217;s the process:</p>
<p>• Joe forms a family limited partnership (FLIP) outside of Success Co. Then, Success Co. contributes vacant land (if the land is improved, Success keeps the improvements as leasehold improvements) to the FLIP. The land is worth $1 million (of course, it could be any amount). In exchange, Success Co. receives (ownership of 99 percent of the FLIP) limited partnership interests. <p>• Success Co. contributes 99 percent of its limited FLIP interests to a charitable lead trust (CLT) with the following terms: The FLIP will pay $99,000 per year to the CLT for eight years. (NOTE: Typically the CLT then makes contributions to Joe&#8217;s Family Foundation). Let&#8217;s pause to follow the money. Success pays $100,000 rent to the FLIP; the FLIP pays $99,000 to the CLT, which makes contributions to Joe&#8217;s foundation.</p>
<p>• First some information: According to IRS tables, the value of the annuity (the $99,000 to be received for eight years by the CLT) is $569,000. So, the value of the one percent remainder interest (the part of the FLIP still owned by Success Co. immediately after the gift of the FLIP to the CRT) is only $31,000 (the $600,000 discounted value of the land, minus the $569,000 value of the eight-year annuity gifted to the CLT, leaves $31,000 as the value of the remainder interest). Simply put, Success Co. owns an asset that according to the IRS is worth only $31,000. Joe&#8217;s children buy the one percent remainder interest from Success Co. for $31,000.</p>
<p>• After eight years the CLT ends. Joe&#8217;s children, who are the beneficiaries of the CLT receive and now own 99 percent of the limited FLIP interests. Remember, they bought (and own) the other one percent from Success Co. eight years ago. The CLT and Success Co. are out of the picture. Better yet, the real estate is out of the corporation, owned 100 percent by Joe&#8217;s children. And there is a bonus: The real estate is also out of Joe&#8217;s estate. The entire transaction is tax-free to the FLIP, the CLT, Joe, the kids and Success Co. (might owe tax on the $31,000 sale).</p>
<p>Now one warning: The above is an easy way to get your real estate-tax-free-out of your corporation. But you must use experienced advisors who know how to dot the &#8216;i&#8217;s and cross the &#8216;t&#8217;s.</p>
<p>Do you have real estate in your corporation? If so, raise your hand and keep reading. About once a month, we get a call at the office asking a question something like this: &#8220;How can I get real estate out of my corporation without being taxed to death?&#8221;</p>
<p>Actually, we could write a small book about the various facts and circumstances that impact on how-to-remove-real estate from your corporation. The book would answer many questions. Stuff like: Are you a C corporation or an S corporation? Are there retained earnings? And how much? How much has the real estate appreciated? And on and on.</p>
<p>Each additional fact might change the tax strategy needed to answer the question — to cover all the possibilities is beyond the scope of this column. Instead, let&#8217;s set up the facts and circumstances that represent over 95 percent of the calls and the recommended solution to get-the-real-estate-out-of-the-corporation problem.</p>
<p><strong> Typical facts and circumstances </strong></p>
<p>Joe owns Success Co., a C corporation with a large amount of retained earnings and one or more pieces of real estate that has significantly appreciated in value. Most of the time the real estate has a building on it, but it could be vacant. (If Success Co. is an S corporation, it has a large amount of old C corporation earnings frozen in place, and the same real estate facts).</p>
<p><strong> The solution </strong></p>
<p>As you read what follows, keep in mind that you don&#8217;t have to know how to build a car in order to drive one. Put it another way: Don&#8217;t sweat the technical details; simply concentrate on the unbelievable favorable tax results.</p>
<p>Here&#8217;s the process:</p>
<p>• Joe forms a family limited partnership (FLIP) outside of Success Co. Then, Success Co. contributes vacant land (if the land is improved, Success keeps the improvements as leasehold improvements) to the FLIP. The land is worth $1 million (of course, it could be any amount). In exchange, Success Co. receives (ownership of 99 percent of the FLIP) limited partnership interests. Joe contributes $10,000 in cash to the FLIP for a one percent general partnership interest. As the general partner Joe has all the voting rights and makes all the decisions.</p>

			<content:encoded><![CDATA[<p>Many business owners spend a lifetime accumulating wealth for their families, yet lose it to the IRS why?</p>
<p>The tax law frustrates successful business owners at every turn. Never have I seen this frustration expressed better than in a letter from a reader (let&#8217;s call him Joe) of this column, a portion of which follows word-for-word (except the names have been changed).</p>
<p>&#8220;Mary and I spent the better part of a year creating a plan to leave our worldly goods [Joe and Mary are worth about 4.1 million] to our [two] single sons, one of whom is in our business.</p>
<p>&#8220;You can see from our wills, revocable trusts and the two green manuals from the Family Planning Group, [professional advisors specializing in business succession and estate planning], our tax attorney and our CPA, who sat in all of our meetings, that we are trying to do the right thing. Just what that means, I don&#8217;t know, but it seems that if Mary and I went to Vegas and lost every dime there would be no taxes, yet if we live a reasonably decent life and try to pass on our savings to our children and to charities, Uncle Sam steps in and decimates a lifetime of savings.&#8221;</p>
<p>The letter was accompanied by a stack of documents and financial data, (actually the same information made available to Joe&#8217;s threesome of advisors). What&#8217;s so interesting about Joe and Mary is that they are a poster couple for the six most common maintaining your lifestyle and estate tax problems — that follow — facing millions of family business owners:</p>
<p>• How to transfer your family business when you have one child (or more) in the business and one child (or more) not in the business;</p>
<p>• How to maintain your lifestyle (and your spouse&#8217;s) for as long as you live;</p>
<p>• How to invest your excess funds;</p>
<p>• How to treat your children fairly;</p>
<p>• How to get your wealth to your children (or other family members) without being &#8220;decimated&#8221; by the IRS;</p>
<p>• How to control your business for as long as you live.</p>
<p>It should be noted that all of Joe&#8217;s advisors were smart and experienced practitioners in their respective areas. Then, why was Joe still searching for better results than this group could deliver? Simply put, Joe saw blue every time he thought of the $1 million-plus tax bill he was told he must pay to the IRS. Since Joe and Mary are like so many other family business owners (the amount of wealth is almost immaterial, it could be $3 million, $30 million or more), following is the basic plan (as your read, think how the same or a similar plan would solve your problems: for the rest of your life and when you get hit buy the final bus) we implemented for them. It&#8217;s also the six-step core plan (the planning strategies are italicized) we create for most business owners, who want to (1) maintain their lifestyle for as long as they live and (2) to finesse the estate tax and get 100 percent of their wealth to their family. All taxes, if any, paid in full:</p>
<p>1. The business is transferred to the business child (or children) using an intentionally defective trust.</p>
<p>2. A subtrust or retirement plan rescue (using qualified plan funds, typically a profit-sharing plan, 401(k) or rollover IRA) is used to purchase second-to-die life insurance on Joe and Mary (proceeds to the children tax-free).</p>
<p>3. A family limited partnership (FLIP) is created to hold all of Joe&#8217;s and Mary&#8217;s assets (usually investments, like real estate, stocks and bonds).</p>
<p>4. Invest a portion of available funds (in your qualified plans, business or personal) in senior settlements (SS). Maintaining your lifestyle is easier with SSs, which earn over 15 percent — without market risk-per year. These SSs are made available by a public company (trades on the NASDAQ) that has been enjoying a 15.82 percent rate of return on average for 15 years.</p>
<p>5. An annual gifting program is started immediately to transfer the FLIP interests to the children (typically, the non-business children).</p>
<p>6. The death documents (will and trust) are designed to clean up all of their goals and asset distributions that were not accomplished during their life by the first five steps of the plan. Notice that the first five steps are done while Joe and Mary are alive — a must if you want to maintain your lifestyle and win the estate tax game. A will and trust (really a death plan — as opposed to a lifetime plan) just can&#8217;t get the job done.</p>
<p>Joe and Mary will control all their assets — including the business — for as long as they live. Again, we want to pound this point home: The plan is essentially a lifetime tax plan (the first five steps). The real secret is to do lifetime planning, not only death or estate planning (the sixth step), like Joe&#8217;s advisors did.</p>
<p>After our six-step plan was put in place, the wealth that will ultimately go to the children of Joe and Mary will be in excess of $5 million. We actually created additional tax-free wealth, instead of losing over $1 million to the IRS. Most importantly, Joe and Mary will be able to maintain their lifestyle — allowing for an inflation rate of up to five percent — for as long as they live.</p>
<p>As regular readers of this column know, we do a reader test from time to time (Joe was part of the last-reader test).</p>
<p>So, if you want to maintain your lifestyle for life, have an estate tax problem or own an interest in a closely held business (particularly if you want to transfer the business to one or more of your kids), you are invited to join the test.</p>

<p>Okay, try this quick quiz: What is the most valuable asset you own? Hands down, almost every business owner answers, &#8220;My business.&#8221; Good! Next question &#8230; What&#8217;s your business worth? Silence! Yes, the final and most common answer is no answer — given 15 seconds or 15 months.</p>
<p>What happens in real life when those same business owners or their families must value the business? Stuff happens! Things like gifts of the family business stock to the kids; death (requiring valuation for estate tax purposes); or divorce (where valuation becomes an expensive legal battle).</p>
<p>Or, how about buying or selling a business? The wrong valuation can rob you and your family of hard-earned dollars. It can even cause your business to be sold to pay taxes.Here are three business valuation myths that I hear from business owners and their families when I consult with them. First, the business is worth book value (usually this value is too low); second, the value is eight to 10 times after-tax earnings (usually this value is too high); and third, an S corporation is worth more than a C corporation (a corporation that pays income tax) because an S corporation doesn&#8217;t pay income tax. (This is just plain wrong. There&#8217;s no difference in value.)</p>
<p>Visualize this: There are two piles of stock in front of you. One pile is made up of publicly traded stock, like Microsoft, IBM and Exxon Mobil Corp. with a total value of $4 million. The second pile is the stock of Your Family Business, Inc. (YFB, Inc.), also worth $4 million by the &#8220;right&#8221; (even the IRS would agree) valuation method. Think for a minute. Which pile is worth more? Right, the first pile: the publicly traded stock. Just call your broker and you can have the full $4 million in your bank account, less the broker&#8217;s commission, in a few days. What about the value of the second pile-YFB, Inc. stock? Well, the fact is that for tax purposes the courts give you a discount for general lack of marketability of about 35 percent, or about $1.4 million.</p>
<p>So, for tax purposes the stock of your $4 million family business is only worth $2.6 million. Surprise! Even the IRS has come around to agree with such discounts. The discount will, in this example, save your estate about $700,000 in estate taxes.</p>
<p>What is the most common reason for valuing a family business? Hands down, when dad (or mom or both) want to <a title="hey kids, 'someday it will all be yourd'" href="http://www.estatetaxsecrets.com/hey-kids-someday-itll-all-be-yours/">transfer the business to the kid(s</a>). Now during dad&#8217;s life.</p>
<p>Dad usually has three basic requests: (1) &#8220;Make sure my lifestyle (and my spouse&#8217;s) can be maintained for life&#8221;; (2) &#8220;Want to control my business (and my other assets for as long as I live&#8221;; and (3) &#8220;Transfer my business to my kids <a title="An Easy Way For The Kids To Buy Their Parents Stock - Tax-Free" href="http://www.estatetaxsecrets.com/an-easy-way-for-the-kids-to-buy-their-parents-stock-%E2%80%94-tax-free/">tax-free</a> (no income tax, capital gains tax or other taxes).&#8221;</p>
<p>Yes, all three basic requests are easy to accomplish if you employ the proper tax-strategies: The core strategies are (1) a well-done valuation (acceptable by the IRS), which is easy to do; (2) a recapitalization (creates voting and nonvoting stock); (3) use an intentionally defective trust (avoids all taxes on transfer of nonvoting stock to kids).</p>
<p>But we need some readers to volunteer their family businesses so we can structure a plan(s) and then write about them in future columns. Real names will be withheld. Don&#8217;t worry about your exact facts Maybe you have only one kid in the business; maybe two or more; maybe some in the business, some not; or maybe no kids in the business and you want to get the business to one (or more) employee(s) (and, of course, they have no money).</p>
<p>Just two ground rules: (1) You really want to transfer your business to your kids, other family members or employees (no hypotheticals) and (2) your business has a real fair market value of $3 million or more (your best guess of what a real buyer would pay). 			<content:encoded><![CDATA[<p>It’s frustrating. Year after year, our office is asked to give a second opinion on the completed estate plans of owners of family businesses. It is rare &#8212; very rare &#8212; to analyze the estate plan (particularly the life insurance policies) of a real-life client and find that all is as it should be. Typically, we find the wrong kind of insurance. Wrong ownership. Wrong beneficiaries. Wrong tax consequences. It goes on and on.</p>
<p>This is a big deal.  We are talking big money.</p>
<p>Typically, the IRS gets 50 to 55 cents out of every life-insurance dollar. Imagine owning a $1 million policy, and the IRS gets $550,000. Your family gets only $450,000. It happens all the time. A <a title="Turn Common Insuran Mistakes Into Tax-Free Wealth" href="http://www.estatetaxsecrets.com/turn-common-insurance-mistakes-into-tax-free-wealth-2/">needless tax travesty</a><a title="Irv Didn't Event Taxes, Just 227 Ways To Beat Them" href="http://www.estatetaxsecrets.com/irv-didn%E2%80%99t-invent-taxes-just-227-ways-to-beat-them/">.</a></p>
<p>Let’s review the three biggest mistakes business owners make concerning life insurance.</p>
<p>Mistake No. 1 &#8212; A corporation should never own insurance on the life of a shareholder, particularly a majority shareholder. Why? The trouble starts as soon as the shareholder dies: The policy proceeds are subject to the claims of corporate creditors.</p>
<p>Worse yet, if a C corporation, the proceeds can be subject to the <a title="Alternative Minimum Tax..Assistance For Individuals" href="http://www.irs.gov/businesses/small/article/0,,id=150703,00.html" target="_blank">alternative minimum tax</a> (AMT) that can steal up to 20 percent of the proceeds &#8212; and the net proceeds (after the AMT) can only get into the hands of your family by paying a second tax via a taxable dividend (ouch!).</p>
<p>If an S corporation, the proceeds (although not subject to the AMT) are still locked in the corporation and can only be paid out tax-free if all old C corporation surplus is first paid out as a dividend (a terrible and tax-expensive idea).</p>
<p>Mistake No. 2 &#8212; The life insurance policy is owned by you or your spouse. Someday the policy proceeds will be included in your estate (or your spouse’s estate). You just guaranteed the IRS a big &#8212; unnecessary &#8212; payday.</p>
<p>Mistake No. 3 &#8212; The policy (with cash surrender value) is old and the cash surrender value is half or more of the death benefit. You no longer have a life insurance policy but a lousy investment.</p>
<p>So what should you do? Here are the typical recommendations we give to our clients so that, you and your family &#8212; instead of the IRS &#8212; win the <a title="Turn Common Insurance Mistakes Into Tax-Free Wealth" href="http://www.estatetaxsecrets.com/turn-common-insurance-mistakes-into-tax-free-wealth-2/">insurance tax game</a>.</p>
<p>For Mistake No. 1 &#8212; Transfer the policy from the corporation to your name, paying the corporation only the amount of the cash surrender value (a tax-free transaction). Next, transfer the policy to a Wealth Creation Trust (an irrevocable life insurance trust that eliminates all income and estate taxes).</p>
<p>For Mistake No. 2 &#8212;  Transfer the policy to a Wealth Creation Trust.</p>
<p>For Mistake No. 3 &#8212; If you are insurable, dump the old policy and replace it with a new policy to be owned by a Wealth Creation Trust. First, if you are married, make sure that replacing the policy on your life is the right type of policy. About 80 percent of the time a second-to-die policy (insures you and your spouse) will give you significantly more bang for your insurance premium dollar. Second, determine how to reduce the premium cost:</p>
<p>(1) if your company has a 401(k) or other qualified plan look into a “Subtrust.” The plan, not you, pays the premiums. Even your IRAs &#8212; traditional or rollover &#8212; can join in the premium-saving fun.</p>
<p>(2) Whether you need single life (only you are insured) or second-to-die, check out “premium financing.” You don’t pay any premiums to get a large ($5 million or more) amount of insurance, nor do you pay interest, just the low fees to the bank to initiate and maintain the loan.</p>
<p>This article does not even begin to explore all of the economic possibilities and tax tricks that you should learn to win the insurance tax game. Also, there are exceptions and traps, but simple to avoid when you know the tax ropes.</p>
<p>Here&#8217;s an easy way to get started: List the policies on your life and your spouse’s life, whether owned by you, your corporation, a trust or otherwise. Then ask this question about each policy: What is the ultimate tax cost-income and estate-while I’m alive? &#8230; When I die? &#8230; When my spouse dies?</p>
<p>The answer should be zero. If not, do what is necessary to make the answer zero. This usually means implementing one or more of the recommendations listed above for each of the above mistakes.</p>

			<content:encoded><![CDATA[<p>Joe, a reader of this column, founded a family business, Success, Inc., that he headed for 24 years. His son, Bill, has been running the business for about six years.</p>
<p>He&#8217;s doing a good job too. Joe, age 64, has cut back his work time to three to four hours a day for nine months of the year. The other three months are spent in a warm climate (mostly Florida) or traveling.</p>
<p>As Success grew over the years, Joe took only enough salary to maintain his family&#8217;s lifestyle. Simple put, <a title="how to invest your cash profits" href="http://www.estatetaxsecrets.com/successful-business-owner%E2%80%99s-dilemma-how-to-invest-your-cash-profits/">profits</a> were not taken out of Success, but reinvested. The business is still profitable, and it&#8217;s Joe&#8217;s only source of income. Success is a C corporation (tax paying).</p>
<p>In the past, Joe had taken a rather modest salary during the year, but he took a big bonus (when profits were available) to fund large family cash requirements (college, vacations, condo, etc.). His professionals had advised him to continue this compensation practice — the same salary and bonus arrangement — even though Joe was putting in about one-third of the time of prior years. Joe called me to get a second opinion.</p>
<p>The <a title="Intenal Revenue Service, IRS" href="http://irs.gov" target="_blank">IRS</a> would probably attack Joe&#8217;s current compensation arrangement on two fronts: First, the bonus would be regarded as a dividend, because it&#8217;s not taken until after the end of the year when the amount of the profit could be determined; and second, the salary would be regarded as unreasonable (too high) compensation.</p>
<p>Would the IRS win? On the first attack, Joe and the business wouldn&#8217;t stand a chance. The IRS would win hands down with the result being a nondeductible dividend for Success, and a taxable dividend for Joe. Second, the IRS could probably knock out about half of Joe&#8217;s current salary as being too high for services actually rendered. Unfortunately the (unreasonable) salary issue is tough to pin down (when challenged by the IRS) with any certainty.</p>
<p>What should Joe do? He needs the current income to live. The answer is to kill the C corporation and elect S corporation status. This would automatically remove the unreasonable compensation problem. What about the bonus? As an S corporation, Joe could take a <a title="yes its ok to beat up the IRS, legally of course" href="http://www.estatetaxsecrets.com/yes-it%E2%80%99s-ok-to-beat-up-the-irs-%E2%80%94-legally-of-course/">tax-free</a> dividend from Success (up to the amount of S corporation profits). This means that Success&#8217; profits would only be taxed once when taken as an S corporation dividend, instead of twice, when taken from a C corporation as a dividend. A big tax saving! Better yet, the same trick will continue to work when Joe completely retires (take those delightful tax-free dividends).</p>
<p>One more thing: S corporation dividends (the economic equivalent of a bonus to Joe) are not subject to Social Security tax or other payroll taxes &#8230; another big tax saving. And here&#8217;s an extra bonus: Joe can collect Social Security benefits even if he continues to work for Success.</p>
<p>If you&#8217;re not tuned into the many advantages of electing S corporation status, you owe it to yourself to get the true tax facts. So, to be or not to be an S corporation? That is the question.</p>

Today&#8217;s sermon at The First Anti-Tax Church is entitled, &#8220;How You Can Enrich the IRS When Transferring Your Business.&#8221; Strange title? Not really. It&#8217;s the conventional wisdom or what our preacher calls &#8220;The Old-Time Tax Religion.&#8221;</p>
<p>Following is a true story of good against evil taken straight from the pages of the ever-growing-tax-business bible. If you&#8217;re a business owner with two or more children-listen up.</p>
<p>A business owner (age 68) (we&#8217;ll call him Joe) from Alabama told me how three employees (ages 38, 45, and 52) had helped build his business (Success Co.) over the years. Profits were plowed back into the business. Today its worth $10 million, with 80 percent owned by Joe and 20 percent owned by the employees. Joe and his wife, Mary, have three children, none active (and not likely to be) in the business.</p>
<p>Joe&#8217;s goals are simple: After he passes on, the business should go to the three employees; his three children should get the value ($8 million) of Joe&#8217;s share of the business. What&#8217;s the conventional wisdom? Have Success Co. own <a title="hey kids, 'someday it will all be yourd'" href="http://www.estatetaxsecrets.com/hey-kids-someday-itll-all-be-yours/">life insurance</a>. The actual amount of insurance is now $11 million. The extra $3 million allows for growth.</p>
<p>The insurance funds a<a title="An Easy Way For The Kids To Buy Their Parents Stock - Tax-Free" href="http://www.estatetaxsecrets.com/an-easy-way-for-the-kids-to-buy-their-parents-stock-%E2%80%94-tax-free/"> buy-sell agreement</a>. After Joe dies, Success Co. will buy Joe&#8217;s stock. Then the employees will own 100 percent of the business. (Good! That&#8217;s what Joe wants.) The kids will get the $8 million or more, which is also what Joe wants. Perfect? Joe&#8217;s lawyer, accountant, and insurance consultant assured him that this is — by conventional wisdom — the &#8220;best&#8221; way to go.</p>
<p>What&#8217;s wrong with the picture? Each dollar of those insurance proceeds used to buy Joe&#8217;s stock will be divided two ways: 55 cents to the <a title="Intenal Revenue Service, IRS" href="http://irs.gov" target="_blank">IRS</a>; 45 cents to the kids. Unwittingly, the IRS, not Joe&#8217;s family will benefit the most from Joe&#8217;s business, which took him a lifetime to build.</p>
<p>What to do? The solution may vary with your particular situation (for example, how many kids you have in the business, how many are nonbusiness children, your age, your wife&#8217;s age, the value of your business and the value of the rest of your assets). But here&#8217;s a plan to beat the pants off of the conventional wisdom and the IRS, legally. And it&#8217;s easy to do.</p>
<p>Step one: Get the insurance out of the corporation into Joe&#8217;s name and then into an <a title="A Time Tested  Method For Making a Tax Advantaged Investment" href="http://www.estatetaxsecrets.com/a-time-tested-method-for-making-a-tax-advantaged-investment/">irrevocable life insurance trust</a>. No, the insurance proceeds will be free of the estate tax.</p>
<p>Step two: Recapitalize Success Co. (which will create voting and non-voting stock) so Joe can keep voting control (a tax-free transaction) for as long as he lives. Say there is 100 shares of voting stock and 10,000 shares of non-voting stock. Joe will keep the 100 shares of voting stock (and absolute control) for as long as he lives.</p>
<p>Step three: Create an annual stock-bonus/stock-gift program. Success Co. will give stock bonuses of non-voting stock to the employees. (In a more typical example, the employees would be Joe&#8217;s children.) Joe would make annual gifts of Success Co. stock to his children and grandchildren.</p>
<p>This sermon does not attempt to cover all the details of the plan outlined above. Find a professional who knows how to use this structure to craft that transfers most (in many cases all) your wealth free of the estate tax. More importantly, your estate tax liability (whatever the amount) will be transferred, in effect to the insurance carrier.</p>
<p>When all the smoke clears, either your estate tax will be zero or paid 100 percent by tax-free insurance proceeds. It&#8217;s time for you and your professionals to get that new-time tax religion.</p>

Or know someone — family, friend or co-worker — who does? If so, this article will save you a ton in taxes and show you how to dramatically increase your after-tax wealth.</p>
<p>This is one of those good-news, bad-news situations. First, the bad news. Someday the money in your plan will be distributed: to you or your beneficiaries. If you happen to be wealthy, those beautiful bucks which took decades to accumulate will be worth somewhere in the 27 percent range. The <a href="http://irs.gov" target="_blank">IRS</a> gets the rest in taxes. Yep, typically you lose around 73 cents out of every dollar because you are required to pay two taxes on your plan distributions: income tax and estate tax. It&#8217;s even worse in high-tax states like New York (check with your accountant). How do I define wealthy? You are irrevocably in the highest income tax bracket (say 40 percent, state and federal) and highest estate tax bracket (55 percent, using 2011 rates). Sorry, but the tax collector will take the lion&#8217;s share of your plan&#8217;s assets whether you get distributions during life, or they go to your heirs after death.</p>
<p>Can anything be done to prevent this <a title="Stop The IRs From Taking Most Of The Dollars In Your Retirement Plan" href="http://www.estatetaxsecrets.com/stop-irs-from-taking-most-of-the-dollars-in-your-retirement-plan/">robbery</a>? Yes! Here comes the good news. Regular readers of this column know I&#8217;m part of a national tax network (other professionals who work together and share tax knowledge). Some experts in the network have devised two tax concepts to enrich your family instead of the IRS. These concepts are designed to help individuals who have accumulated large amounts (from $200,000 to millions of dollars or more) in their plans.</p>
<p>Suppose you have $1 million (fill in your own exact number) in one plan or all of them combined. If you fail to take advantage of one or both of these concepts you will lose $730,000 (or more) in taxes to the IRS. Just take 73 percent of the amount in all your plans, and you can clearly see the full tax-disaster picture. Of course, your local tax collectors (state, as well as your local county or city) may grab an additional piece of the action.</p>
<p>Now, let&#8217;s look at each concept separately.</p>
<p>The first concept — called the &#8220;Single Premium Strategy (SPS)&#8221; — combines three strategies: (1) an immediate-pay annuity (typically a joint-life annuity if you are married); (2) a life insurance policy (second-to-die if you are married) and (3) an irrevocable life insurance trust. In one real-life case, an unmarried reader of this column turned $325,000 into $2,878,385 (all taxes paid). Another reader, who is married, turned $270,000 into $3,496,063 (all taxes paid). Single or married, it&#8217;s smart to get an exact quote of how much tax-free wealth an SPS would create for you and your family.</p>
<p>Another concept, called &#8220;Retirement Plan Rescue&#8221; (RPR), uses the funds in the plan to buy the insurance: either for a single life or second-to-die for a husband and wife. A married reader (Joe) used an RPR to buy $10 million of second-to-die insurance, which will go to his kids tax-free. Joe actually turned $567,900 into $10 million. Joe&#8217;s wife Mary called the entire transaction a &#8220;tax miracle.&#8221;</p>
<p>You&#8217;ll also be surprised at how easy these strategies are. So, if you are lucky enough to be wealthy, but unlucky enough to have a substantial amount of assets in a qualified plan — IRA, profit-sharing, 401 (k) or similar plan — you owe it to your family to take a closer look at the tax-miracle concepts. It&#8217;s easy.</p>
